Eventably Terms of Use

1.     ACCEPTANCE OF TERMS

By accessing, using, or creating an account on the Eventably platform, website, mobile applications, or any related services (collectively, the “Platform”), each user (“User,” “Customer,” “Consumer,” or “such party”) acknowledges that such User has read, understood, and agrees to be bound by these Terms of Use (these “Terms”) and all applicable laws and regulations. If a User does not agree to these Terms, such User must not access or use the Platform.

These Terms constitute a legally binding agreement between each User and Eventably, LLC, a Maryland limited liability company (“Eventably,” “we,” “us,” or “our”). Each User’s use of the Platform is also governed by our Privacy & Data Protection Policy, Acceptable Use & Content Policy, and other policies referenced herein, all of which are incorporated by reference into these Terms.

2.     DEFINITIONS

For purposes of these Terms, the following definitions apply:

“Customer” means an individual or entity that uses the Platform to organize, promote, manage, or sell tickets for events.

“Consumer” means an individual who purchases tickets or registers for events through the Platform.

“Event” means any gathering, conference, seminar, workshop, performance, or similar activity organized by a Customer and promoted through the Platform.

“Content” means all text, graphics, images, music, software, audio, video, information, or other materials posted, uploaded, or transmitted through the Platform.

“User-Generated Content” means any Content created, uploaded, posted, transmitted, or otherwise made available by Users through the Platform.

3.     PLATFORM OVERVIEW AND USER ROLES

Eventably operates as a technology platform that connects event organizers with individuals seeking to attend events. The Platform facilitates event discovery, ticket sales, and event management services. Eventably acts solely as an intermediary technology provider and is not a party to any transaction or relationship between Customers and Consumers.

Customers are solely responsible for creating, organizing, promoting, and delivering their events. Consumers purchase tickets or register for events directly from Customers through the Platform’s integrated payment processing system. Eventably provides the technological infrastructure to facilitate these transactions but does not guarantee, warrant, or assume responsibility for any aspect of the events themselves, including their quality, delivery, safety, legality, or compliance with applicable laws.

4.     ELIGIBILITY AND ACCOUNT REGISTRATION

Each User must be at least eighteen (18) years of age and have the legal capacity to enter into binding agreements to use the Platform. By using the Platform, each User represents and warrants that such User meets these eligibility requirements.

Account registration is required for certain Platform features. When creating an account, each User must provide accurate, current, and complete information. Each User is responsible for maintaining the confidentiality of such User’s account credentials and for all activities that occur under such User’s account. Each User must immediately notify Eventably of any unauthorized use of such User’s account or any other breach of security.

5.     PLATFORM SCOPE AND LIMITATIONS

The Platform provides technology services to facilitate event organization and ticket sales. Eventably’s role is strictly limited to providing the technological infrastructure and payment processing capabilities. We do not organize, host, promote, or endorse any events listed on the Platform.

Eventably makes no representations or warranties regarding the accuracy, reliability, or completeness of any event information posted by Customers. We do not guarantee that any event will occur as scheduled, meet any particular quality standards, or comply with applicable laws. All such responsibilities rest solely with the Customer organizing the event.

While Eventably strives to maintain reliable service, the Platform’s availability may be subject to scheduled maintenance, updates, or unforeseen technical difficulties. Eventably does not guarantee uninterrupted or error-free operation of the Platform.

6.     LICENSE GRANT AND RESTRICTIONS

Subject to each User’s compliance with these Terms, Eventably grants each User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. This license does not include any right to: (a) resell or make commercial use of the Platform or its contents; (b) collect and use any product listings, descriptions, or prices; (c) make derivative uses of the Platform or its contents; or (d) use any data mining, robots, or similar data gathering and extraction tools.

No User may reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform. No User may modify, adapt, translate, or create derivative works based upon the Platform. No User may remove, alter, or obscure any proprietary notices on the Platform.

7.     PROHIBITED CONDUCT

Users are prohibited from using the Platform for any unlawful, harmful, or inappropriate purposes, including but not limited to:

Violating any applicable local, state, national, or international law or regulation. Using the Platform to promote, organize, or facilitate events that involve illegal activities, hate speech, discrimination, harassment, or violence against any individual or group based on race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic.

Posting false, misleading, deceptive, or fraudulent information about events, pricing, or availability. Engaging in any form of harassment, bullying, stalking, or threatening behavior toward other Users. Attempting to gain unauthorized access to the Platform, other User accounts, or Eventably’s computer systems.

Using automated tools, scripts, or bots to access the Platform or collect information from it. Interfering with or disrupting the Platform’s functionality or the servers and networks connected to the Platform. Posting or transmitting any Content that infringes upon the intellectual property rights of others or violates any third party’s rights of privacy or publicity.

Engaging in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use and enjoyment of the Platform. Using the Platform to distribute spam, unsolicited communications, or malicious software.

8.     USER-GENERATED CONTENT

Each User retains ownership of any User-Generated Content such User posts to the Platform. By posting User-Generated Content, each User grants Eventably a non-exclusive, royalty-free, worldwide, perpetual, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such Content in connection with the Platform and Eventably’s business operations.

Each User represents and warrants that such User has all necessary rights to grant the foregoing license and that such User’s User-Generated Content does not violate these Terms or infringe upon the rights of any third party. Each User is solely responsible for such User’s User-Generated Content and the consequences of posting it.

Eventably reserves the right, but has no obligation, to monitor, review, or remove User-Generated Content that violates these Terms or that we deem inappropriate for any reason. We may remove such Content without prior notice and without liability to any User.

9.     INTELLECTUAL PROPERTY RIGHTS

The Platform and all of its contents, including but not limited to software, text, graphics, logos, images, audio clips, video clips, data compilations, and the selection and arrangement thereof, are owned by Eventably or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

Eventably’s trademarks, service marks, and logos used and displayed on the Platform are registered and unregistered trademarks of Eventably. Nothing in these Terms grants any User any right to use Eventably’s trademarks, service marks, logos, domain names, or other distinctive brand features.

10.  PAYMENT PROCESSING AND PLATFORM FEES

All payment processing on the Platform is handled through integrated third-party payment processors, including Stripe. By using the Platform’s payment features, you agree to be bound by the applicable payment processor’s terms of service.

For Customers selling tickets through the Platform, Eventably charges platform fees as disclosed during the event creation process. These fees are automatically deducted from gross ticket sales before remittance to the Customer. Platform fees may vary based on Customer volume, subscription level, or negotiated enterprise agreements.

Eventably is not responsible for any payment processing fees, chargebacks, or disputes between Customers and Consumers. All such matters must be resolved directly between the parties or with the applicable payment processor.

11.  SERVICE AVAILABILITY AND TECHNICAL SUPPORT

Eventably strives to maintain reliable Platform access but makes no guarantees regarding continuous, uninterrupted, or error-free operation. The Platform may be temporarily unavailable due to maintenance, updates, technical difficulties, or circumstances beyond Eventably’s reasonable control.

Technical support is available as outlined in Eventably’s Support Policy. Support response times and availability may vary based on inquiry volume and complexity.

12.  DISCLAIMERS AND LIMITATION OF LIABILITY

PLATFORM PROVIDED “AS IS.” THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EVENTABLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

NO WARRANTY OF EVENT QUALITY OR DELIVERY. EVENTABLY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, OR DELIVERY OF ANY EVENTS LISTED ON THE PLATFORM. CUSTOMERS ARE SOLELY RESPONSIBLE FOR ALL ASPECTS OF THEIR EVENTS, INCLUDING COMPLIANCE WITH APPLICABLE LAWS, OBTAINING NECESSARY PERMITS AND INSURANCE, AND DELIVERING THE PROMISED EVENT EXPERIENCE.

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVENTABLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO ANY USER’S USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF EVENTABLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MAXIMUM LIABILITY CAP. IN NO EVENT SHALL EVENTABLY’S TOTAL LIABILITY TO ANY USER FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT EVENTABLY RECEIVED FROM SUCH USER FOR THE SPECIFIC EVENT OR TRANSACTION GIVING RISE TO THE CLAIM.

NO LIABILITY FOR USER CONDUCT. EVENTABLY IS NOT LIABLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. EACH USER ASSUMES ALL RISKS ASSOCIATED WITH INTERACTING WITH OTHER USERS OR ATTENDING EVENTS FOUND THROUGH THE PLATFORM.

13.  INDEMNIFICATION

Each User agrees to defend, indemnify, and hold harmless Eventably, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) such User’s use of the Platform; (b) such User’s violation of these Terms; (c) such User’s violation of any third party’s rights, including intellectual property rights; (d) any User-Generated Content such User posts or transmits through the Platform; and (e) such User’s organization of or participation in any event facilitated through the Platform.

This indemnification obligation will survive termination of these Terms and any User’s use of the Platform.

14.  DISPUTE RESOLUTION AND GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Anne Arundel County, Maryland, and each User hereby consents to personal jurisdiction and venue therein.

Mandatory Arbitration.

Any dispute, claim, or controversy arising out of or relating to these Terms or any User’s use of the Platform shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Anne Arundel County, Maryland. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver.

Each User agrees that any arbitration or legal proceeding shall be limited to the dispute between such User and Eventably individually. Each User waives any right to participate in a class action lawsuit or class-wide arbitration.

15.  ACCOUNT TERMINATION

Eventably may suspend or terminate any User’s account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or conduct that damages Eventably’s reputation or business interests.

Upon termination, the applicable User’s right to use the Platform will cease immediately. Termination does not relieve any User of any obligations incurred prior to termination, including payment obligations and indemnification duties.

Any User may terminate such User’s account at any time by following the account closure procedures on the Platform. Termination of a User’s account does not automatically cancel any active events or pending transactions, which remain subject to the applicable terms and policies.

16.  PRIVACY AND DATA PROTECTION

User privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy & Data Protection Policy, which is incorporated by reference into these Terms. By using the Platform, each User consents to the collection and use of such User’s information as described in the Privacy & Data Protection Policy.

17.  MODIFICATIONS TO TERMS

Eventably reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the “Effective Date” at the top of this document. For significant changes, we may also provide additional notice such as email notification.

Any User’s continued use of the Platform after any such changes constitutes such User’s acceptance of the new Terms. If any User does not agree to any changes, such User must stop using the Platform and may terminate such User’s account.

18.  LEGAL NOTICES AND COMPANY INFORMATION

Business Information. Eventably, LLC is a limited liability company organized under the laws of the State of Maryland, United States. Our principal place of business is located at 3601 Patuxent River Road, Davidsonville, MD 21035, USA.

Regulatory Compliance. Eventably operates in compliance with applicable data protection and e-commerce laws in the jurisdictions it serves, including the General Data Protection Regulation (GDPR) for European users and the California Consumer Privacy Act (CCPA) for California residents.

International Users. The Platform is operated from the United States and is intended for users worldwide. If any User accesses the Platform from outside the United States, such User is responsible for compliance with local laws and regulations.

19.  MISCELLANEOUS PROVISIONS

Entire Agreement. These Terms, together with the Privacy & Data Protection Policy and other policies incorporated by reference, constitute the entire agreement between each User and Eventably regarding such User’s use of the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Assignment. No User may assign or transfer these Terms or such User’s rights hereunder without Eventably’s prior written consent. Eventably may assign these Terms and its rights and obligations hereunder at any time without restriction.

Force Majeure. Eventably shall not be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other causes beyond our reasonable control.
